Please read these terms carefully before using BM.ECOMTECHBD.COM services.

1. Acceptance of Terms

By accessing or using the BM.ECOMTECHBD.COM website, APIs, SMTP relay services, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include that organization.

If you do not agree to these Terms, you must not access or use our Services. We recommend that you print or save a copy of these Terms for your records.

2. Description of Services

BM.ECOMTECHBD.COM provides business email hosting and services including, but not limited to:

  • Business email hosting with custom domain support
  • Professional email address provisioning and management
  • Company email accounts with webmail access
  • IMAP/POP3 email access for desktop and mobile clients
  • Spam and virus protection
  • Email admin panel for team management
  • Email aliases and forwarding
  • Customer support and migration assistance

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes that affect your use of the Services.

3. Account Registration and Responsibilities

To use our Services, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials, including your SMTP username, password, and API keys
  • All activity that occurs under your account, whether authorized by you or not
  • Notifying us immediately at security@ecomtechbd.com if you suspect unauthorized access to your account
  • Ensuring that your account information remains accurate and up to date
  • Complying with all applicable laws and regulations in connection with your use of the Services

You must be at least 18 years of age to create an account and use our Services. Each account is for a single entity; you may not share account credentials with third parties or allow others to access your account without our prior written consent.

We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate information, are being used fraudulently, or violate these Terms.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes and in compliance with these Terms, our Acceptable Use Policy, and all applicable laws. The following activities are strictly prohibited:

4.1 Prohibited Content

  • Sending unsolicited commercial email (spam) to recipients who have not given explicit consent to receive messages from you
  • Sending emails to purchased, rented, scraped, or harvested email lists
  • Distributing malware, viruses, ransomware, phishing attempts, or any malicious software through our Services
  • Sending content that promotes illegal activities, violence, hatred, discrimination, or harassment
  • Transmitting content that infringes on intellectual property rights, including copyrights, trademarks, and patents
  • Sending deceptive or fraudulent messages, including emails with falsified header information or misleading subject lines
  • Distributing content related to illegal gambling, unlicensed pharmaceutical sales, or counterfeit goods
  • Sending content that violates the privacy rights of any individual

4.2 Prohibited Activities

  • Attempting to bypass sending limits, rate controls, or account restrictions through any means
  • Using the Services in a manner that adversely affects the performance, availability, or reputation of our infrastructure or other customers
  • Reverse engineering, decompiling, or disassembling any part of our Services or software
  • Reselling or redistributing access to our Services without explicit written authorization
  • Using our Services to perform email address harvesting or directory harvest attacks
  • Interfering with or disrupting the integrity or performance of our servers, networks, or infrastructure
  • Accessing or attempting to access accounts, systems, or data that do not belong to you

We monitor for violations of this Acceptable Use Policy using automated systems and manual review. If we determine that you have violated these terms, we may suspend or terminate your account immediately without prior notice and without refund.

5. Email Compliance Requirements

You are solely responsible for ensuring that all email sent through our Services complies with applicable laws and regulations, including but not limited to:

  • The CAN-SPAM Act (United States)
  • The General Data Protection Regulation (European Union)
  • The Canadian Anti-Spam Legislation (CASL)
  • The Privacy and Electronic Communications Regulations (United Kingdom)
  • Any other applicable anti-spam, data protection, or privacy laws in jurisdictions where your recipients are located

At a minimum, all marketing and commercial emails sent through our Services must include a valid physical mailing address, a clear and functioning unsubscribe mechanism that is honored within 10 business days, accurate sender identification, and non-deceptive subject lines. You must maintain records of consent for all recipients on your mailing lists.

6. Payment Terms

Paid plans are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are stated in US dollars unless otherwise specified. You agree to the following payment terms:

  • Fees are due on the billing date associated with your account and are non-refundable except as expressly stated in these Terms or required by applicable law.
  • If your payment method fails, we will attempt to process the payment again. If payment is not received within 7 days of the due date, we may suspend your account until payment is made.
  • You are responsible for all taxes, duties, and levies applicable to your purchase, excluding taxes based on our net income.
  • We may change our pricing at any time. Price changes for existing customers will take effect at the start of the next billing cycle following 30 days' advance notice.
  • Overages beyond your plan's included email volume will be billed at the per-email rate specified in your plan details, calculated and charged at the end of each billing cycle.

Annual plans may be cancelled at any time, but the remaining balance of the current annual term is not refundable. Your access will continue until the end of the paid term.

7. Service Level Agreement

We commit to maintaining a 99.9% monthly uptime for our SMTP relay and email API services, measured as the percentage of time the Services are available for sending email during any given calendar month, excluding scheduled maintenance windows.

If we fail to meet the 99.9% uptime commitment in any calendar month, you may request a service credit according to the following schedule:

  • 99.0% to 99.9% uptime: 10% credit of your monthly fee
  • 95.0% to 99.0% uptime: 25% credit of your monthly fee
  • Below 95.0% uptime: 50% credit of your monthly fee

Service credits must be requested within 30 days of the end of the affected month by contacting support@ecomtechbd.com. Credits are applied to future invoices and do not entitle you to a cash refund. The maximum credit for any single month shall not exceed 50% of your monthly fee for that month.

This SLA does not apply to: scheduled maintenance announced at least 24 hours in advance, downtime caused by factors outside our reasonable control (force majeure), issues resulting from your equipment, software, or network connectivity, or suspension of your account due to a violation of these Terms.

8. Intellectual Property

All content, software, technology, trademarks, and other intellectual property associated with the Services are and remain the exclusive property of BM.ECOMTECHBD.COM and its licensors. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited right to use the Services in accordance with these Terms.

You retain all ownership rights to the content and email data you transmit through our Services. By using our Services, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Services to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BM.ECOMTECHBD.COM, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Services, regardless of whether such damages were foreseeable or whether we were advised of the possibility of such damages.

Our total cumulative liability arising out of or related to these Terms or the Services shall not exceed the total amount you paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.

We do not guarantee that emails sent through our Services will be delivered to every intended recipient. Email delivery depends on numerous factors outside our control, including recipient server policies, spam filtering configurations, and DNS propagation. We provide the infrastructure and best-effort delivery optimization, but we cannot guarantee inbox placement for any specific message.

10. Indemnification

You agree to indemnify, defend, and hold harmless BM.ECOMTECHBD.COM, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, the content of any emails you send through our Services, or your infringement of any third-party rights.

11. Termination

You may terminate your account at any time by contacting our support team or using the account cancellation feature in your dashboard. Upon termination:

  • Your access to the Services will cease immediately or at the end of your current billing period, depending on your plan type
  • Any pending emails in your sending queue will be discarded
  • Your account data, including delivery logs and analytics, will be retained for 90 days to allow for data export, after which it will be permanently deleted
  • You remain responsible for all fees incurred prior to termination

We may suspend or terminate your account immediately and without prior notice if we reasonably determine that you have violated these Terms, engaged in prohibited activities, failed to pay fees when due, or if continued provision of Services to you poses a risk to our infrastructure, reputation, or other customers. In the case of termination for cause, no refund of prepaid fees will be provided.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice by posting the updated Terms on our website with a revised "Last Updated" date and, where practicable, sending an email notification to the address associated with your account at least 30 days before the changes take effect.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services and terminate your account before the changes take effect.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally by contacting us at legal@ecomtechbd.com. We will attempt to resolve the dispute through good-faith negotiation within 30 days. If informal resolution is unsuccessful, either party may proceed with formal legal action.

14. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and BM.ECOMTECHBD.COM regarding the Services and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or power outages.
